AMEN DMENTS
. Amendments to these Article.s oE Incorporation will be
praposed and adopted in the Eollowing manner:
_ ' 9.1 Notice of the subject matter oE a proposed amendment
will. be ineluded in the notice of any meeting at which a proposed
amendment is considered. '
9.2 A resolution for the adoption of a proposed
amendment may be proposed either .by the eoard oE Directors or by
the members oti the Corporation. Directors and members not ~resent
in person or by proxy at the meeting considering the amendment may
ex~ress their approval in writing, providing such approval is
delivered to the secretary at or prior to the meeting.
a. Such aPprova ls must be by not less than 75$ of
the entire membership of the f3oard of Directors,and.by not less
rhan 75$ oF the votes of the entire membershi~ oE the Association;
or
• b. Ry not le.ss than 80$ of tl~e votes of ti~e entire
memb2rship of_ the Association.
9.3 Yrovided, however, that no amendment shall make any
chanyes in the ~~ualifications for membershi~ nor the voting rights
of inembers, without approval in writing by all members. ~
9.4 11 co~y of each amendment shall be certified by the
Secretary of State.
