COI3SENT AND COVENANT NOT TO SUE
This instrument executed on the .Z~/ day of
December, 1980, by KENNETH W. ROTH of Miami, Florida, Covenantor,
to MILLBROOK INVESTMENTS N.V.,MALLVILLE INVESTMENTS N.V.,OZONE INVEST-
MENTS N.V.,SAVILLE INVESTI~NTS N. V.,MOLBESTON CORPORATION N.V., And
HATTERWAY CORP. N.V.,Netherlands Antilles Corporations,Jointly and /
herein/referred to as Covenantee~ Severally
jointly and severally (collectively)
WHEREAS Covenantor entered into an Option and Right
of First Refusal Agreement dated January 28, 1980 with Burlington
Investments Ltd., a British Virgin Islands corporation, covering
land more specifically described in Exhibit "A" attached hereto,
which agreement was modified and amended; all of which agreements
are described in Exhibit "B" attached hereto, in part granting
Covenantor the exclusive option to purchase the property described
in Exhibit "A" attached herto, and
WHEREAS Covenantor has agreed for good valuable and
sufficient consideration to him paid, receipt of which is ac-
knowledged, to release the aforesaid exclusive option to purchase
to
but expressly according to the terms of the agreement with that
co rporation of even date herewith,
NOW, THEREFORE Covenantor for himself, his heirs, legal
representatives and assigns hereby covenants and ag~_ee~ that he
will never institute any action or suit at law or in equity
against Covenantee by virtue of Covenantee's purchase of the Iands
described in Exhibit "A".
Covenantor further consents to such purchase by
, Covenantee and agrees that this instrument may be treated as a
defense to any action or proceeding that may be brought by
Covenantor, his heirs, legal representatives or assigns, against
Covenantee, and shall forever be a complete bar to the com-
mencement of any action or proceeding whatever against Covenantee
