Che Board of Directers shall be liable for his, her or its actions as such except where guilty of gross negligence or willful misconduct. The ~orpora- tion shall indemnify every Director and every Officer, their heir~, executors and administrators, against all loss, cost and expense reasonably incurred by him in connection with anv action, suit or proceeding to which he ma_v be made a party by reason of his being or having been a Pirector of Officer of the Corporation, including reasonable counsel fees to be approved by the Corporation, except as to matters wherein he shall be ~inally adjudged in such action, suit or proceeding~ to be liable for or guilty of willful misfeasance or malfeasance. The foregoing rights shall he in addition to and not exclusive of all other ri~hts to which such Director or Officer may be entitled. ARTICLE XIII LIABILITY SURVIVES TERMINATION OF MF~BERSHIP The Cermination of inembership in the Condominium shall not relieve or release any such former owner or member from any liability or obligation incurred under or in any way connected with the Condominium durin~ the period of such ownership and membership, or impair any rights or remedies which the Corporation may have againsC such ~ormer owner and member.arising out of or in any way connected with such ownership and membership, and the covenants and obligations incident thereto. ARTICLE XIV PARLIAMENTARY RULES Roberts' Rules of Order (then current edition) sha11 govern the conduct of the Corporation's meetings to the extent that it is not in conflict with the Condominium Act, the Declaration of Condominium or these Bylaws. ARTICLE X~~ i•1I SCELLANEOUS Section 1. Protection of Property. All liens against a Condominium Unit, other than tor mortgages, Caxes or special assessments, shall be satisfied or otherwise removed within thirty (30) days of the date the lien attaches. All taxes and special assessments upon a C.ondominium tTnit shall be paid before becoming delinquent, as provided in these Condominium Documents or by law, whichever is sooner. Section 2. Notice of Lien. Each Unit Owner shall give notice to the Corporation or every lien unon his unit, other than for instiCutional mortga~es, taxes and snecial assessments, within five (S) days after the attaching o£ the ?i.en. Section 3, Notice of Suit. Unit Owners shall ~ive notice to the Corporation o±- every suit or oCher proceedi.n~ which will or may effect title to this unit or any nart of the property, such notice to be given with five (5) days after the Unit Owner receives notice thereof.
