1. The names of the corporations that are the parties to
the merger are stated above. Westminster (Florida) Inc. shall
be the "Surviving Corporation." The other corporations are

2. A copy of the Plan of Merger is attached hereto as
Exhibit A.
3. The effective tim.e of the merger shall be 12:02 A.~i.,
January 1, 1981.

Corporations is Iisted beZow. Common stock is the only class
of stock of each Constituent Corporation that is outstanding,
and the Surviving Corporation owns all the outstanding shares
