PURSUANT TO~ SECTION 607.227 OF THE FLORIDA GENERAL CORPORA-
TION ACT, M1INATEE COUNTY ADVERTISER & PRESS, INC., ADOPTS THESE
ARTICLES OF MERGER AND STATES;
1. The names of the corporations that are the parties to
the merger are stat~d above. Manatee County Advertiser & Pre~s,
Inc. sha1Z be the "Surviving Corporation." The other corpora-
tions are hereinafter referred to as the "Constituen~t Corpora-
tions."
2. A copy of the Plan of Merger is attached hereto as
Exhibit A. .
3. The effective date of the merger shall be 12:OZ A.M.,
January 1, 1981.
4. The number of outstanding snares of the Constituent
Corporations is listed below. Common stock is the only class
of stock of each Constituent Corporation that is outstanding,
and the Surviving Corporation owr.~ all the outstanding shares
of each Constituent Corporation.
