Statutes, the Surviving Corporation, the holder of all the
outstanding snares of each Constituent Corporation, waived the
requirement of having the Plan of rierger :nailed to it. This
waiver is contained in the Plan of Merger which is att~ched
hereto as Exhibit A. ~
