PLAN OF MERGER
Fort Pierce Shopper, Inc., Sarasota 5hopping Gui~e, Inc_,.
Pinellas County Shopper, Inc., and Ocean Pr~motions, Inc_,
Florida corporations (the "Constituent Corporations").sha11 Y~
merged into Manatee County Advertiser b Press, Inc., a rlori~a
corporation, as follows: .
1. Survivinq Corperation. Manatee County Acver±:~scr ~
Press, Inc. shall be the su~viving corporation tt:,e ~~S`1r~"11'1;tC
Corporation").
2. Ownership of Stock. All the sh3res of stock, issue~
and outstanding, of the Constituent Corporations are ow~ev ~,y
the Surviving Corporation.
3. Terms and Conditions of Mer4er. On the effecti~~e
date of the merger of the Constituent Corporations ~r.to t~e
Surviving Corporation, ~he separate existence of each of t~~
Constituent Corporations shall cease, ~he shares of stoc~:,
issned and outstanding, of the Constit~~ent Corporati~ns s~ al'_
be cancelled, and the Surviving Corporation shall s~ccNec to
all the liabili~ies of the Constituent Corporations. Ther~
shall be no change in the Articles of Incorporation of ~~e
Surviving Corporation a~ a result of the merger of t~~e C~L-
stituent Corporations into the Surviving Corporation.
4. Further Assurances. If at any time the Surv:;:•i-,c
Corpo"ration shall determine that additional conve~~ar.ce~s, cc~c::-
ments or other actions are necessary to carry out th~ ~~rUZi~-
sions of this Plan of Merger, the officers and direct~:s c~
the Constituent Corporations as of the effective :at~ of t~is
merger shall execute such conveyances or docum~nts or ~a~;e
such action. In connection with the foregoing, the of{~,_ezs
