Exhibit "C" and the owner of Parcel A agrees that it shall not
change such 3rainage plan (or the configuration or topography of
Parcel A as shown thereon) in such a way as will si~nificantly

surface water in accordance with such drainage plan.
2. General ~9oes hereby establish for th~ benefit of, an~
grant an~ convey to, the owners fr~m time to time of Parcel A an~
such owners' tenants, and the rustomers, employees an~ invitees oE
such owners and tenants, a n~n-exclusive easement appurtenant to
Parcel A, for the following purposes: (i) passage and use for

all thase sidewalks, entrances, service drives, accesa roads, lanes
~n~i oarking areas on Parcel B which ar.e now or may hereafter fr~m
time to~time be used for pe3estrian an3 vehicular traffic and
~arkinq; (ii) using all "Consumer Facilities," as hereinaf~er
defined, that may exist from time to time on Parcal 8; (iii)
~rainage of surface water over, across and un~er sucli porti~ns of
Parcel B as are not within the "8uil~ing Area" shown on the Site
~lan and use ~f any drainage facilities now or hereafter constructed
~~pon or un3er Parcel B; (iv) use of any water retention facilities
~ow or herea_`ter located on or under Parcel 8 an-i located Hithin
that portion of Parcel B shown crosshatched on Exhibit "D" at~ache:i
~ereto; 3nd {v) installation, us~, maintenance an3 repair of
un~ierground utilities serving any portion of Parcel A~vzr, across
an~ un~er such portions of Parcel B as are not within the "Suil3inq
Area" shown on the Site Plan. :'he aforesaid right to 3rain surface
