INTER YIVOS TRUST AGREEMENT

, 1976, between HOWARD E. WORDEN and DOROTNY M. WORDEN,
of Sun City Center, Hillsborough County, Ftorida, hereinafter called
the "Co-Settlors", and the said HOWARD E. WORDEN and DOROTHY M.
WORDEN, of Sun City Center, Hillsborough County, Florida, hereinafter
called the "Co-Trustees". The First Successor Co-Trustee under this
Agreement shall be OANIEL E. WORDEN, presently of Evansville, Indiana.

TNIS AGREEMENT, executed in duplicate this ~ J"day of
THAT the Co-Settlors for and in consideration of the covenants
herein contained and for Ten Dollars (~10.00) and other qood and
valuabie considerations, hereby transfer, assign and deliver to the
Co-Trustees all assets shown on the Schedule "A" annexed hereto and
made a~art hereof, receipt of which in trust is hereby acknowledqed
by the said Co-Trustees to be held and administered, together with
all other property that may fror~ time to time be added~to this Trust,
IN TRUST, for the uses and purposes stated, and upon the following
terms and conditions:
ARTICLE I
CO-SETTLORS' LIFE'INTEREST:
Tt-e GQ-TrustPe~ shall pa_y the entire net proceeds from the

income of the Trust Fund and capital gains distributions from in-
vestment trusts to or for the benefit of the Settlors in monthly or
other convenient installments, for so long as they shall live. 1n
addition thereto, the Co-Trustees shall make payments frort~.the
principal of the Trust Fund to or for the~benefit of the Settlors
in such sums and at such times as the Settlors may request from time
to time. In the event that either of the Co-Settlors, or the survivor
of them, shall be unable, in the opinion of the Co-Trustees (which
