15. Surviva~ilii:y. All re~resentations, warranties, a~ul
covenants oI ~3uyer or Scller contained in tliis Ayrecmcnt shall
survive the Clasiny and be bincliny upon and inure to the bene-
tit of the respective part-ies hereto and their respective heirs,
successars, and permitted assiyns. Any agreements, under-
standinys, warranties, or representations not exF~ressly
contained lierein sllall in no way binci eitl~er Seller or Duyer.

Paragraph 5(e)(2) shall not survive the payment of ttie base
