acknoWledge and deliver instrucients of conveyance, including deeds in fee

simple, notes, mortgages, and agreements of pledge, and all other instruments
neceasary or incidental to the execution of the foregoing poWers; and in
general to do all things necessary or appropriate for the ad~inistration
of my estate. I also specifically suthoriae my Executor or any successors
to him to sell or liquidate all or any part of any business enterprise in
s~hich I own a controlling interest at the time of my death at such time
and price, upon such terms and conditions (including credit) and to such
purchaser(s) (including any partner, officer, shareholder or employee of
the business or any beneficiary of my estate) as my Executor shall determine.
The powers and discretions granted hereby are in addltion to and not in
limitation of any given my Executor by statute or other provisions of law.
Such poWers and discretions, hoWever granted~ may be exercised Without order
of any court and shall be exercised in such mariner as, in my Executor•s
sole discretion, shall be deemed to be in the best in[erests of my estate
