D. To make distribution of my estate in lcind, in cash,
or partly in kind and partly in cash and to this end, allocation of
asaete in kind shall be in the sole discretion of my Executor. Assets

distributed in kind in satisfaction of any pecuaiary distribution under
the terms of this Will shall be distributed at their values on th e date
or dates of distribution.
SIXTti: I direct my Executor to pay out of the principal
of my residuary estate all ~ederal Estate, State Inheritance, Estate
and Succession Taxes imposed upon or with respect to my estate or any
propertq in Which I may have an interest, including any property not
forming a part of my testamentary estate but included in my gross estate
for tax purposes, except any property over Which I have a taxable po~er
of appointment in the event it shall be held that I have not exercised
such pawer of appointment in this Will, at such times and in such manner
as my Executpr in its sole dfscretion shall deem advisable, and no such
taxes or any portion thereof so paid shall be collected from or paid by
any othet person, persons, or corporations bq waq of reimbursement,
proration, apportionment or otherwise.
