instruments, accounts, contract rights, documents, chattel paper
and general intangibles of the Debtor, more particularly incLuding
the following (it being agreed, however, that the following specific
descriptions shall in nowise limit the comprehensiveness of the
foregoing grants):
(a) All cable television franchises, ordinances,
licenses, permits and similar operating r.ights issued hy
any federal, state or local governmental body authorizing
the construction or operation, or both, of any cable
television or similar cornmunications system, wheresoever
located, including without limitation all of the "Existing
Cable Television Franchises" and "Existing Certificates _
of Approval" identified in Exhibit D to the Loan Agreement '
between Debtor and Secured Party, in each case whether now
owned or hereafter acquired;
(b) All pole attach~r~ent, trench license, right-
of-c,~ay and other uti.lity conduit ayreements between the
Debtor and any ~~ublic utility company, whether now exist.ing
or hereafter entered into, permitting the Debtor to attach
cab]_e or other conduits to any ~oles owned or maintained
by such utility campany or to install television cables
in any trenches or conduits owned or maintained by such
utility cc~mn~,ny or to use or ~h.~re any riyht of c•ray of
such ut~lity company, including without lim~:tation all
of the "Utility Agrec~:~ents" identified in Exhibi.t D to
the aforesaid Loan Agreement;
(c) Al1 present and fut_ure accounts receivable,
contract riyhts and other rights to pa1-ment in respect
of subscri.ber fees or other sums collectable by the Debtor,
for cable television service or otherwise, including without
limitation the right to rentals under any present or future
lease under which the Debtor is lessor, and all guarantees
of the Debtor's existing and future accounts ar.d contract
ric3hts and all other securiLy r.ow or hereafter held by
the Debtor for the payment or satisfaction of any of such
accounts or contract ri<~hts;

(d) All earth stations, microwave transmission,
relay and reception equip;nent, ~~ntennas and other tele-
corrUnunications equipment, head-end equi.pment, and other
machinery, equipment, accessories and parts whether similar
or dissimilar to the foregoing, and aIl other goods, in
each case whether or not the same constitute fixtures a~d
whether now owned or hereafter acquired, and all money,
instruments; documents, chattel paper and general
int~nyibtes, whether now owned or hereafter acquir.ed; and
(e) All proceeds of the foregoing, i.ncluding
insurance proc~eds and proceeds of other proceeds.
