agreement shall be ~eceived by the Uttlity and tceated on its books and records as
revenue income, added to the Utility's gcoss ~evenues and shall not be considered
contributions-in-aid-of-constcuction.
Plant capaCity allotment assigned to Developer by virtue oi DevelopeNs
payment of gua~anteed revenues cannot, and shall not, be assigned, tcansierred,
leased~ encumbered, or disposed of in any manne~ by Developer, unless: (1)
Develope~ has obtained the written consent of the Utility to such assignment, sale

the Propecty to which the plant capacity ~ese~ve ~elates, and the Utility is not~f~ed
in writing of such assignment and has consented to same. The Utility will not
unreasonably withhold its consent to an assignment. In no instance shall any sale or
assignment of plant capacity reserve be made by Developec for a consideration
which is more than that amount actually paid by Developer to reserve the capacity.
