F. Failure to Exercise Power of Appointment. In the event my
wife does not effectively appoint the entire principal remaininq at the time
of her death, my Trustees may pay out of such remaining principal such
portion of the expense of the adrriinistration of my wife's estate and for
last illness anci funeral as my Trustees in their sole discretion, shall
deem necessary or de~irable; and my Trustees shall pay such portion of
all estate, inheritance, succession and other death taxes of any nature,
including any interest and penaities thereon, payable by reason of my
wife's death, as shal! be attributable to the inclusion in her estate of the
principal of Trust A for such death tax purposes. This discretion shall
not postponz the disposition of the remaining principal of Trust A as here-
in provided, but my Trustees shall have the ri~ht to withhol~l such an
amount as my Trustees may deem necessary for the purposes hereinabove
described.
~. ~istributi~n of Remaininq Principal. Any principal anc3 undis-
tribute~ income remaining in Trust ~'~ at the death of my wife and not
effectively appointed by her and not used for the purposes set foi~th in
subparagraph C(2) of this Article, shall be then distributed to our two
daughters CHt~RLOTTE K. KATZ ar_.~. R~BERTA K. ~ELAV~Y. If either
or both Yiave died prior to such distribution, then said share or sha.res
shall vest in the issue c~f said da~~ghter or daughters on a per stirpes
basis. Distrib ution of the respective share sha.ll further be made to such
issue as shall have reached twenty-cne (21) years of age. The share or
shares of any issue not yet tv~enty-one~ (21) years of age shall be helci in
trust until reaching such age, according to terins in A_rticl~ IV, paragraph
~, b el ow.
H. Limitation of Powers o~ Trustee.
In ad:hinistering Trust f~,
my Trustees shall be vested with all discretions, powers and authority
given to my Trustees by this Vlill; provicied, however, my Trustees shall
