1. Tt~at ttie execution by Jot~n Bourassa, Vice-President of CI1G Corporation, on
behalf of the Corporatian oE that certain agreeoent to purch.3se and sell
real property and escrow instructions, dated November 5, 1980, by and
between Fiomer t{oyt Institute, Bernard Paskin, Sarah Bassin, Robert Bassin
and Brenda Finci ("Se ller") and the Corporation ("Buyer") for a purchase
price ot jI0,000,000 ("the ~reement") is approved and ra[ified in a11
respects;
2. That John Bourassa, Vice-k'resident of ttie Corporation is i~ereby e~npowered
[o do any and all acts he dee~us necessary to accomplish the purchase of ti-e
property pursuant tu the AgreeW2nt and specificaZly, but not by way of
li~aitation, to execute on be}~alf of the Corporation and deliver to the
Seller a promissory note, secur~d by purchase money mortgage in tt~e a,nount
of $9,000,000 with interes[ thereon at the rates set out in the ~reemznt
and containing such covenants, ter:us and conditions as may be approved by
the said person signing sa~e on behalf of the Corporation, such approval to
be conclusively evidenced b~ his eaecution of the pro~issory nute and
oortgage on behalf of the Corporation."
I, Donald J. Cresswell, Secretary ~f Campeau Corporation Florida, a
Florida Corporation, do hereby cerr.ify tt~at the foregoing is a full, true and
correct copy of Resolutions passed by tlie Board ot Directors of CampPau
Corpvration Florida at a meeting held on :[arch 4, 1981.
I further certify tl~at tt~e said Resolutions are in full force and
effect and that they have not been amended or revoked.
