Kenneth G. Peters, being duly sworn, hereby deposes and
sa}-s as follows :
l. I am counsel to Homer Hoyt Institute, a District of
Columbia not for profit corporation (the "Corporation").
2. In my opinion, and tc the best of my knowledge and
belief, the Corporation was duly incorporated in the District
of Columbia on August 18, 1967 and, from that date until the
date of this Affidavit, the Corporation has been duly organized,
existing, and in good standing.
3. In my opinion, and to the best of my knowledge and
belief, tiaury Seldin is as of the date of this Affidavit the
duly elected President of the Corporation and Michael Sumichrast
is, as of the date of this Affidavit, the duly elected Secretary-
Treasurer of the Corporation.
