ARTICLES OF AMENDMENT

Pursuant to the provisions of the District of Columbia Non-
profit Corporation Act, the undersigned adopts the following Articles
of Amendment to its Articles of Incorporation;
FIRST: The name of the corporation is: HOMER HOYT INSTITUTE
SECOND: The following amendment of the Articles of Incorporation
was adopted by the Corporation in the manner prescribed by the District
of Columbia Non-profit Corporation Act:
1. ARTICLE THIRD of the Articles of Incorporation is ~'~
hereby amended as follows: , ;
Said corpora*.ion is organized exclusively for
educational and scientific purposes, including. for
such purposes, the making of distributions to organi-
zations that qualify as exempt organizations under Sec-
tion 501(cj(3) of the internal Revenue Code of 1954 (or
the corresp~ndin~ provision of any future United States
Internal Rec•enue Law).
2. ARTICLE SEVENTH of the Articles of Incorporation is
hereby amended as follows:
(a) No part of the net earnings of the corporation
shall inure to the benefit of or be distributable to the
Board of Directors, the officers thereof, or other pri-
vate persons, except that the corporation shall be author-
ized and empov~ered to pay reasonable compensation for ~
services rendered and to make payments and distributions
in furtherance of the purposes set forth in ARTICLE THIRD
hereof. No substantial part of the activities of the corpor-
ation shall be the carrying on of propaganda, or otherwise
attempting, to influence legislation, and the cor-,.~sration
