CONSENT AND SUBORDINATION TO
DECLARATION OF RECIPROCAL EASEMENTS
FOR AND IN CONSIDERATION of the sum of Ten Dollars
($10.00) and other good and valuable considerations, the
receipt and sufficiency o~ which are hereby acknowledged, the
undersigned, AMERICAN SAVINGS AND LOAN ASSOCIATION OF FLORIDA,
as holder of (i) that certain Florida Monthly Installment
Mortgage from General Development Corporation, dated December 8,
1980, and recorded in Official Records Book 349, Page 1932, Public
Records of St. Lucie County, Florida (hereinafter referred to as
th~ "Mortgage"); (ii) that certain Assignment of Lessor's Interest
In Lease from General Development Corporation dated December 8,
1980 and recorded~in Official Records Book 344, Page 1946, a'fore-
said records (hereinafter referred ta as the "Lease Assignment");
(iii) that certain Assignment of Rents-Conditional from General
Development Corporation dated December 8, 1980 and recorded in
Official Records Bao:t 344, Page 1956, aforesaid records (herein-
after referred to as the "Assignment of Rcnts"); and (iv) that
certain UCC Financing Statement recorded in Official Records Book
344;'Page 1965, aforesaid records (hereinafter referred to as the
"Financing Stater~ent"), ftlr itself, its successars, successors-
in title and assigns, does hereby consent and subordinate to all

easements, restrictions and rights granted in the Declaration
of Reciprocal Easements, a copy of which is annexed hereto, and
does further agree that any foreclosure of the Mortgage or other
exercise of any of the undersigned's rights under the Mortgage,
the Lease Assignment, the Assignment of Rents or the Financing
Statement shall in no way affect the easem~nts, restrictions and
