AHD, I further authorize Sun Bank and Trust Company of St. Petersburg
to continue the transacti.on of a general banking and trust business with
main offices at 301 4th Street North, St. Petersburg, Pinellas County,
Florida, with branch offices as authorized by law. On the effective
date of inerger, October 16, 1980, the charters of the constituent banks.
other than the resulting bank, shall be deemed surrend~red and the
resulting bank shall be considered the same business and corporate
entity as each constituent bank with all of the rights, powers, and
duties of each constituent bank except as limited by the charter and by-laws
of the resulting State bank. All constituent bank~, other than the
resulting bank, are deemed to be branches of the resulting bank.
