These are the Bylawa of SAND DOLLAR VILLAS CONDOMINIUM ASSOCIATION , INC .. called Aesociation in theae Bylawe , a oorporation not for pmfit under the laws of the State of Florida, the Articlea of Incorporation of which were filed in the of~'ice of the Secretary of State on October 6 , 1978. ~he Association has been organized for the purpose of operating SAND DOLLAR VILLAS CONDOMINIUMS A, B, C, D and E. which shall be located upon the lands deacribed in such Articles of Incorporation . 1.1. The office of the Aasociation will be at 10044 State Road A-1-A, Jensen Beach, Florida 33457. 1.2. The fiscal year of the Asaociation will be the calendar year. 1.3. The seal of the oorporation will bear the name of the corporation, the word "Florida" , and the words "Corporation not for profit" and the year of incorporation, an impression of which is as follows: , ;' " ~ ~~. . ~ ~ . - t ' F. ~ ' t 2 . 14IEMBERS' MEETINGS . 2.1. The annual members' meetin~ will be held at 1: 30 P.M ., Eastern Standard Time , on the second Wednesday in January of each year for the purpose of electing directors and transacting any other business authorized to be transacted by the members; provided, however, if that day is a legal holiday, the meeting will be held at the same hour on the next day that is nb~ a holiday . 2.2. Special members' meetin~s will be held whenever called by the President or by a majority of the Board of Directors; and must be called by auch officers upon receipt of a written request from membere entitled to cast one-third of the votes of the entire membership . 2.3. Notice of all members' meetin -~s stating the time and place and the objects for which the meeting ia called will be given by the President or Secretary unlesa waived in writing . Such notice will be in writing to each member at his address as it appears on the books of the Association and will be mailed not lesa than ten (10) days nor more than siacty (60) days prior to the date of the meetin~. Proof of such mailing will be given by the affidavit of the person giving the notice. Notice of a meeting may be waived before or aftter the meetings . ' 2. 4. A. ~uorum at members' meetings will oonsist of persons entitled to caat a majority of the votes of the entire memberahip . The acts approved by a majority of the votes present at a meeting at which a quorum is present will constitute the acts of the members, except when approval by a greater number of inembers is required by the Declaration of Condominium, the Articles of Incorporation or these Bylaws .
