CERTIFICATE OF AUTHORITY
IT IS HEREBY CERTIFIED THAT:
l. THE TORONTO-DOMINIQN BANK, a chartered Bank of Canada
(the "Bank"), is the owner and holder of that certain Note
Secured B~- First Real Estate Lien dated July 10, 1980,
in the original principal amount of $3,500,000.00 , made by
Bella Vista, Inc.---------------------------------------------
in favor of the Bank and of the Florida Real Estate MQrtgaae
and Security Ac-reement----------------------------------------
+ and other security instruments (if any) described in Schedule MnN

attached hereto (collectively referred to as the "Security
Instruments") which encumber the property described in Schedule
"A" hereto.
2. Either E. R. Waylen, Assistant General Manager and
Senior Agent, or W. M. Greenwood, Agent-Credit, acting indivi-
dually, both of whom are officers of the Bank's Atlanta Agency,
, is authorized and empowered to execute and deliver recordable
, instruments to effect the release and discharge, from time to
II time, of the whole or portions of the real property described
•, in Schedule "A" hereto from the lien(s) of the Security Instru-
~ , ments, as modified from time to time, if that be the case, and
~ -. each is further authorized to execute, individually, any consents
,-~ to or joinders in any declaration(s) of condominium or amendments

`~ thereto which may be necessary or appropriate in connection with
~' the submission of the real property described in Schedule "A"
hereto (or portions thereof) and improvements thereto to the
condominium form of ownership and any other instruments which
may be required, from time to time, in relation to the-loan
evidenced by said note and secured by the Security Instruments.
~ 3. The maker of this Certificate of Authority is a Vice-
_ President of the Bank and has full power and executive authority
in that capacity to make this Certificate of Authority.
