ment of any interest or principal hereunder for a period of ten
(10) days or in the event of any ~efault or event of default under
any other documents delivered to T-D Bank in connection herewith, ~
the holder hereof may elect to declare and may declare the entire
unpaid principal amount hereof, together with interest accrued
hereon, immediately due and payable. ~
The Maker and all endorsers and guarantors of this Note here-
by waive demand, presentment, notice of non-payment, dishonor and
protest, and agree in case suit shall be brought for the collec-
tion hereof~, or if it is necessary to place the same in the hands
of an attorney for collection, to pay~reasonable attorney's fees
for making such collection, including but not limited to, all fees
and costs incident to any appeals.which may result, whether the
holder hereof is obligated therefore or not.
It is agreed that the granting to the Maker of this Note or
any other party of ar~ ex~tension or extensions of time for the pay-
ment of any sum or sums due hereunder or under the Mortgage secur-
ing the payment of this Note or for the performance of any cove-.
nant or stipulation thereof or the taking of other or additional _
security shall not in any way release or affect the liability of
the Maker and/or the endorsers and guarantors of this Note.
This Note is secured by, among other things, a Mortgage of
even date herewith executed and delivered by the Maker in favor of
T-D Bar.k, encumbering properties in St.Luaie County, Florida. The
~ provisions of this Note and said Mortgage shall be construed
according to the laws of the State of Georgia, provided, however,
that with xespect to the remedies of the Mortgagee granted in the
Mortgage, the laws of the State of Florida shall apply where ~
applicable.
This Pr.omissory Note ~ay not be amended or modified, n~r
shall any waiver of any provision hereof be effective, except by
an instrument in writing executed by the holder of this Note.

; This Promissory Note may be prepaid, in whole or in part
` from time to time, without penalty, together wi.th accrued interest
j hereon, upon the Maker giving T-D Bank or the holder hereof at
least five (5} b~siness days prior written notice of such
~ prepayment. ~
