ments. 8orrower and the Other ~~Teston Entities agree to indemnify ~
and to hold eank harmless of and from any and all lia~ility, loss
or damage which it may or might incur by reason of any claims or
demands against it based on its alleged assumption of Burrower's
and the Other Weston Entities' duty and oi~ligatien to perform and
discharge the terms, convenants and agreements in the Licenses,
Contracts and Sales Aqreements.
6. (a) After the occurrence of an Event of Default, Bank may
elect to exercise any and all of F3orrower's and the Other Weston
Entities' rights and remedies under the Additional Collateral,
without any interference or objection from Borrower or the Other
Weston Entities, and F3orrower and the Other ~Aeston Entities shall
cooperate in causinq the Contractors to comply with all the terms
and conditions of the Contracts.
(ti) If and to the extent permitted by law and the terms
of tne Additional Collateral, Bank may, with or witho~~t entry upon
the Property, at its o~tion, take over and enjoy the benefits of
the Licenses, exercise Borrower's and the Other Weston Entities'
riyhts under the Additional Collateral, and perform all acts in

the same manner and to the same extent as F3orrower and the Other

Weston Enti-ties might do. In connection with any and all of the
= foregoiny powers, and without limiting the same, 8ank may effect

~ new Contracts, Licenses ~and Sales Aqreements, cancel or surren~3er

~ existing Contracts, Licenses or Sales Agreements, alter and amend
~ the terms of and renew existing Contracts, Licenses and SaZes
~ Agreements, and make concessions to Governmental Authorities,

~ Contractors an~ Purchasers. ~orrow~r and the nther ~~leston

~ Entities hereby release any and all claims wnich it has or might
~ have against Rank arising out of sucn performance by ~3ank.

- 7. All of the foregoing powers herein granted Banic snall be
liberally construed. Bank need not expend its own funds in the
: exercise of such power, but if it does, such amounts shall be
