Box 605 ` La Mirada, California 90637 ~ ; Attention: Real Estate Department . ~ LANDLORD ESTOPPEL CERTIFICATE Gentlemen: Alexander Leo Johnson and Mary Ellen Johnson certify as follows: ~ ~ 1. SAMBO'S RESTAURANTS, INC., a California corpora- ~ tion through its predecessor in interest (Sambo's of Greater Miami, Inc.) as Tenant, and Alexander Leo Johnson and Mary Ellen Johnson as Landlords, entered into a written Lease Agreement dated May 24, 1973 (hereinafter referred to ~ as the "Lease"), pursuant to which Landlords leased to Tenant and Tenant leased from Landlords, premises located in the City of Fort Pierce, County of St. Lucie, State of Florida, as more particularly described in Exhibit "A" attached hereto and incorporated herein by reference, (hereinafter referred to as the "Leased Premises"). 2. The Lease has not been modified, changed, altered or amended in any respect (except as indicated following this sentence), and is the only Lease between the undersigned, as Landlord, and the Tenant affecting said ~ Leased Premises: ~ Amendment to Lease, dated October 4, 1973 ~ Second Amendment to LPase, dated May 9, 1974 ~ 3. The Lease is in full force and effect; Tenant has ~ accepted the premises and presently occupies same, and is paying rent on a current basis. The undersiqned, as " Landlord, has no set-offs, claims, or defenses to the enforcement of said Lease. 4. As of the date of this Certificate, Tenant is not in default in the performance of the Lease, and has not committed any breach of the Lease, and no Notice of Default has been given to Tenant. $~394 PA~E 9~.5
