. This Lease is made on tha assumption that the improve-
ments (buildinq an~ parking ~acilities) to be cor~~tru~t~3 an the
~ leased premises by Lessor can be contracted for at a cost not to
~ exceed $150;000:00. Said ceilinq cost is intended to be exclu-
~'1"~' sive of any demolition work, excavation work, site clearing
expense, cut or fill, and of any cost of brinqing utilities to the
leased premises, and is also exclusive of all intanqible costs,
such as legal cost, financinq costs, points and interest, brokers'
fees, escrow costs, engineers' and "ou~side" architect fees, if
any, and insurance.~during course-of construction, all of which are
the responsibility of Lessor. Should the Lessor be unable to ~
obtain a contract within the ceiling cost, it may qive written
notice thereof to Lessee prior to the lettinq of any contract and
the commencement of any construction. Within 30 days thereafter, !

Lessee shall either (a) provide a qeneral contractor to contract ~
r..,- +tio a h~n~Pa cc~ntract within the ceilinq cost, and/or

(b) rework the plans and specifications (with Lessor's approval,
t not to be unreasona2~ly withheld) in an at=empt to lower the costs,
and/or (c) approve an excess over the ceiling~cost with Lessee
to pay said excess in cash, and/or (d) approve an excess of not
to exceed 515,000.00 over said ceiling cost, which excess shall be
advanced by Lessor, and the monthly minimum rent increased accord-
ingly by 1~ of said excess, and/or (e) should none of the above
occur, then either party may cancel this Lease anci have no further
obligati~on or liability to the other.
Lessor shall not unreasonably delay or hinder the
~ approval of plans and specifications. In the event Lessor has not
~
~ commenced construction within 60 days of approval of plans and
specifications, ana completed the improves+ents Nithin 180 days of
