entire balance of the origina~. term of the Lease and all
option terms as provided for in Paragraph A of the Lease and
(ii) all of Assiqnor's right, title, interest, and duties
and obligations with respect to the property described in _
the Lease without limitation or reservation.
Assignee expressly assumes, as of the Effective Date,
the Lease, together with any and all obligations arising .
thereunder from and after the Effective Date through the
remaining term of the Lease, as it may be extended. As-
signee hereby agrees to indemnify, defend and hold Assignor
harmless from any and alI claims, demands, losses, lia-
bilities or judgments against Assignor, including all
interests, penalties, fines and other sanctions and any
~ - costs or expenses in connection therewith, including
reasonable attorneys' fees and expenses which arise out of
the failure of Assignee or any successor thereto to perform
the obliqations required under the Lease.
In the event either party to this Agreement brings an
action against the other party by reason of breach of any
covenant or condition of this Agreement, the prevailing
party in such action shall be entitled to recover from the
other party reasonable attorneys' fees to be fixed by thP
Court which shall render a judgment, as well as the costs of
such.
IN WITNESS WHEREOF, the undersigned parties have
executed this Assignment of Lease by their duly authorized
signatures as of the date first above written.
