CONSENT OF LESSOR

The undersigned Lessor hereby consents to an assignment
and transfer of the Lease in the form attached hereto by ~
Sambo's Restaurants, Inc.-to Denny's, Inc., and all terms
and conditions thereof for the balance of the original term
of the Lease and including all option terms to extend the
Lease. From and after the date of said assignment, Lessor
hereby acknowledges that Assignor shall not be liable to the
undersigned in any way for the payment of any rent, or
~erforming any of the obligations, covenants or provisions
, arising out of or by reason of the Lease for the balance of
the term or any extension thPreof. . j
