partner's interest or to terminate and liquidate the busin~ss.
The purchase price shall be one-half of the figure determined by
taking the then value of the asse~s of the partnership and
subtracting therefrom all liabilities due thereon.
In the event of the death of one of the partners (meaning
the death of the surviving spouse of one of the partner entities)
that partner's interest shall be disposed of under the provisions
of the Will of the deceased partner and there shall be no right
in the surviving partner to purchase the deceased partner's
interest in contravention of the Last Will and Testament of the
deceased partner. ~
