The Nalcers of auch Promissory Kotes, by receipt and acknovledg~ent of
this instruaent, are directed to aake all future pay~e~ata on the above-~entioned ~
Proaisaory Notes directly to StuarC Delaplaine or his assigns. .
Al1 parties ackaovledge that the assignmeat of Pronisssory Notes and
other asaets of FIS~'S WSARF RBSTAORAZiT, INC.~hereinunder is in pu=suance of .
a certain Plan of Conplete Liquidation under Section 337 of the Interaal Revenue
Code, as a~eaded, adopted by,FISHBR~lAN'S WHARF BSSTAUxAKT, INC. on Nove~aber 15, .
1982. All questions and interpretations. of this agreement ahall be resolved
