THIS MORTGAGE, made this j/3 day of November, 1983, by
MOONRAKER BAY, a Florida part ers ip, located at 5455 North
Federal Highway, Boca Raton, Florida 33431 (hereinafter called
"Mortqagor"1, to SUNRISE SAVINGS AND LOAN ASSOCIATION OF FLORIDA,
a Florida corporation, with an executive office at 6801 Lake
Worth Road, Lake Worth, Florida 33463 (hereinafter called
"Mortgagee").
W I T N E S S E T H
WNEREAS, Mortgagor is justly indebted to Mortgagee, having
executed and delivered to Mortgagee its promissory note, a copy
of which is attached hereto and made a part hereof as Exhibit "8"
("Note"), bearing even date herewith. wherein Mortgagor promises
to pay to Mortgagee the principal sum of ELEVEN MILLION FOUR
HUNDRED TWENTY-FOUR THOUSAND DOLLARS ($11,424,000.00) or so much ~
thereof as shall have been advanced and remain outstanding (the ~
"Loan"), lawful money of the United States of America, with
interest thereon at the rate and times and in the manner and
according to the terms and conditions specified in the Note, all ~1
of which are hereby incorporated herein by reference; and ~
WHEREAS, as additional consideration for Mortgagee's
agreeing to grant the Loan to Mortgagor, Mortgagor has executed a
Proceeds Agreement, a copy of which is attached hereto as Exhibit
"C" (the "Proceeds Agreement"), which Agreement is hereby secured
by this Mortgage and the terms of which are hereby incorporated
by reference.•
NOW THIS INDENTURE WITNESSETH, that Mortgagor, in considera-
tion of the indebtedness and to secure the payment to Mortgagee
of the principal with interest, and all other sums provided for
in the Note, the Proceeds Agreement and in this Mortgage,
including, but not limited to, any future advances that may be
made by Mortgagee to Mortgagor, in accordance with the terms of
any f.uture advance provisions contained herein, up to the maximum
amount stated, (the Note, the Mortgage, the Proceeds Aqreement
; and all such other.agreements and instruments being hereinafter
collectively referred to herein as the "Loan Documents"), has
granted, bargained, sold and conveyed and by these presents does
grant, ba.rgain, sell and convey unto Mortgagee that certain tract
~ or parcel of land lying and being in the County of St. Lucie and
State of Florida, more particularly desc~ribed and set forth in
, Exhibit "A" attached hereto and made part hereof (hereinafter the
; "Property").

~ TOGETHER with all and singular the tenements, hereditaments,
easements, appurtenances, passages, waters, water courses,
~ riparian rights, other rights, liberties and privileges thereof
or in any way now or hereafter appertaining, including any other
~ claim at law or in equity as well as any after acquired title,
franchise or license and the reversion and reversions and
~ remainder and remainders thereof; and

~ TOGETHER with all buildings and improvements of every kind
~ and description now or hereafter erected or placed thereon and
~ all materials intended for construction, reconstruction, altera-
~ tion and repair of such improvements now or hereafter erected
thereon, all of which materials shall be deemed to be included
within the mortgaged premises immediately upon the delivery
