7. Borrower's Liabilities. Lender, by its acceptance
hereof, does not become a m er or partner of, or with, the
borrowing entity, and in no event shall Lender be liable for any
of th~ debts, obligations, or liabilities of the Borrower, or the
officers or directors thereof, nor is Lender liable for any
contributions to Borrower., Lender's only interest in Borrower
shall be Lender's right to receive the amounts described herein.
8. Reasonable Care. Borrower covenants and agrees (a) not ,
to impair or iminis in any manner the rights of Lender created
by this Agreement; and (b) that at any time, and from time to
time, at the reasonable request of Lender, Borrower will promptly
execute and deliver to Lender any and all additional instruments
and do all other acts and things, as may be necessary or proper,
at Lender's option, to more__fully evidence and perfect the rights
herein created, or intended to be created, and to protect the
rights of Lender hereunder,
9, Further Assurances. The Borrower agrees from time to
time to execute and deliver to Lender, UCC-1 Financing Statements -
or other instruments reasonable requested by Lender to evidence
or perfect the rights granted to Lender hereby.
10. Successors and Assigns. The terms and provisions
hereof shall be binding upon Borrower and its successors and -
assigns and shall inure to the benefit of Lender and Lender's
successors and assigns, and the rights granted herein shall be a ~
covenant running with land and be binding upon all owners of the
Property. The terms and provision hereof are cumulative of and
in addition to the terms set out in the Loan Docutaents.
IN WITNESS WHEREOF, the undersigned have executed this
Agreement this flSi day of November, 1983.
