shall become due and payable, abave described, or in the event
of any default under the Loan Agreement, or in the event of any
default under the terms of the Mortgage or either or both of
~he Security Agreements, to which reference is hereby made for
a description of the security and a statement of the terms and
conditions upon which this Note is secured, the entire balance
of the principal of this Note then outstanding and unpaid,shall
at the election of the payee or holder hereof, without demand
cr notice, become and shall be due and payab~e at once. Fail-
ure at times to exercise such election shall not constitute a
waiver of the right to.exercise it. If this Note be not paid
at maturity, whether by acceleration or otherwise, and it be
placed in the hands of an attorney for collection, the parties
hereto agree to pay a reasonable attorney'~s fee.
All parties hereto whether as makers, endorsers, sure-
ties, guarantors or in any other cagacity, hereby waive pre-
sentment for payment, demand, protest, notice of ~rotest and~
notice of dishonor and consent that this Note may be extended
or renewed from time to time and that all or any of the secu-
rity to this Note may be sold, without releasing any of said
parties. -
