Upon any exchange or transfer of bonds of the Thirty-second Series, _
. the Company may make a charge tnerefor sufficient to reimburse it ~
" _ for any tax or taxes or other governmental charge, as~ provided in
. Section 12 of the Mortgage, but the Company hereby waives any right ~
to make a charge in addition t,hereto for any exchange or transfer -
_ . of bonds of the Thirty-second Series. - ~

SECTION 2. Section 3 of the Third Supplemental Indenture, as hEre-
~ tofore amended, is hereby further amended by inserting the words -

_ Miscellaneous Provisions ~ -
- . - SECTION 3. Subject to the amendments provided for in this ~'hirty-
_ first Supplemental Indenture, the terms defined in the 1Vlortgage, as
- heretofore supplemented, shall, for all purpases of this Thirty-first _
Supplemental Indenture, have the meanings specified in the Mo~tgage,
_ as heretofore supplemented. - - - -
. SF.CTION 4. The Trustees hereby accept the t.rust her~in declared,
provided, created or supplemented and agree to perform the same upon
_ the terms and conditions herein and in the Mortgage, as heretofore sup- _
. plemented, set forth and upon the follov~ing ~erms and conditions: _
