THIS SPECIAI. WARRANTY DEED, made this Sth day ~

& Investment Co., Inc., a California Corporation, the address
of which is Ladera Ranch, Ojai, California 93023, and DAE
Holdin~, Inc., a California Corporation, the address of which
is 214 East Matilija Ave., Ojai, California 93025 (the
Grantees);

WITNESSETH THAT:
Grantor, for and in consideration of the sum of
Ten and no/100 Dollars ($10.00) and other good and valuable
consideration paid to Grantor by Grantees, the receipt of
which is acknowledged, has granted, bargained and sold, and
hereby grants, bargains and sells, to Grantees, an undivided
one-half (1/2) interest to each,~their successors and assigns,
~ forever, real property, situated in St. Lucie County, ~
Florida, described in Exhibit A attached hereto and incorpor-
~ ated herein by this reference. ~

Subject to: Real property taxes for 1984
and subsequent years; zoning and other
regulatory~laws and ordinances affec~ing
~ the above-described real property; liens of
~ record, restrictions, reservations, covenants,
~ , conditions, limitations and easements hereto,
~ and other matters whether or not of record.

~ And Grantor does hereby specially warrant the
~ title to the above-described real property and wiZl defend ~
~ the same against the lawful claims of all persons whomsoever
~ claiming by, through, under or against Grantor.
IN WITNESS WHEREOF; Grantor has caused this special
