~`e~~ TO WHOM IT MAY CONCERN :
THE TORONTO-DOMINION BANR, a chartered bank of Canada (the
"Mortgagee"), is the owner and holder of that certain Florida ~
Real Estate Mortgage and Security Agreement dated as of March 9,
1982, made by B$I,LA VISTA, INC., a Florida corporation (the
"Mortgagor"), and recorded in Official Records Book 372, Page
1629, in the Public Records of St. Lucie County, Florida (the
"Mortgage"). The Mortgage presently encumbers those certain
lots, pieces and parcels of land more particularly described in
; Exhibit "A" attached hereto and incorporated herein by this ref-
; erence.

; Mortgagor and Mortgagee and the guarantor(s) of the indebt-
; edness secured by the Mortgage have made and entered into an un-
recorded Modi~ication Agreement dated May 17, 1982 and an unre-
~ corded Second Modification Agreement bearing the same date as
this Notice, whereby the maturity date of said indebtedness has
been extended to July 31, 1984. . Reference is made to said unre-
` corded Modification Agreement and Second Modification Agreement
~ for other provisions governing the loan transaction between Mort-
~ gagor and Mortgagee.

Notice is hereby given that Mortgagor has executed and de-
~ livered to Mortgagee one certain "Future Advance Note Secured by
` Real Bstate Lien" in the original principal sum of $1,000,000.00

- bearing the same date as this Notice. The sums disbursed by
- Mortgagee to or for the benefit of Mortgagor under said note con-
- stitute "future advances" under the terms of the Mortgage and are
~ secured thereby, together with the promissory note referred to in
the original Mortgage (said two notes having been consolidated
pursuant to said unrecorded Second Modification Agreement).
