I, ELISHA C. bUKES, Secretary of State of the State of Delaware,
do hereby certify tha~ the Joint Agreement of Merger by and l~etween
"UNITED STATE~ STEEL CORPORATION", a corporation organized and existing
under the laws of the State of New Jersey, ~nd "U. S. STEEL COriPANY",
a corporation organized and existing under the laws of the State of
Delaware, under which the "U. S. STEEL COMPANY", is the surviving
corporation, was received and filed in this office on the first day of
January, 1966;
And I do hereby further certify that t~e surviving corporation shall
be governed by the laws of the State of Delaware; that pursuant to
said Joint Agreement oP Merger the name of the surviving corporatian
is changed to "UNITED STATES STEEL CORPORITION"; tha~ pursuant to said
Joint Agreement of Merger all the property, righ~s, immunities,
privileges, powers and franchises, public or private, of the merging
corporations and all debts due to the merging corporations shall be
vested in the sur~°iving corporation without furt-her act or deed and
that the surviving corporation is responsible for all the debts,
liabilities, cbligations and duties of each of the merging corporations.
