AGENCY AGREEMENT

performing the services hereinafter mentioned, for the follo~ving crops (hereinafter referred to as
the "crops") from the follo«•ing locations:

~ II. B~G shall use its best effoi~ts to clean, grade, pack, handle, ship and/or sell the crops (here-

' inafter referred to as the "authorized services") in such manner and upon such terms and conditions
; as, in BGG's judgrrient, s:~ill yield maximum returns therefor, and shall pay Grower the net proceeds
i of sale, less deductions hereinafter referred to.

; III. Grower ~varrants that Gro~ver is, and during the term of this agreement shall be, the sole
: owner of the crops, and that there are ~nd shall be no encumbrances, lien, or claim against the crops,
~ or any pai~t thereof, except as follo~vs :

~ IV. Gro~ver shall produce the crops, and- j

~ shall harvest anc~-- -sha11 deliver the same to BGG's packing house at
~ - -or to such other location as BGG shall designate.

~ V. Gro~ver shall pay BGG its current conunercial charges for each of the authorized services
~ rendered hereunder by BGG to Grower.
VI. The provisions on the front and back hereof constitute the entire agreement bet~veen the
pai-ties and may not be altered or amended except in ~vriting.
