2, rlotice of Offer and Exercise of Ri~ht of First

If, a~ any time, the 4wner shall receive a bona fide
offer from any person, persons, organization or organizations to
purchase~ in whole or in part, the real property in the County
of St. Lucie, State of Florida, more particularly described in
Exhibit "A" attached hereto, the Owner shall send Optionee a
copy of the proposed Contract and notify Optionee of its inten-
tion to accept the same. The Optionee shall have the right
within thirty (30) days from the date of receipt of said notice
from Owner to accept the terms of said Contract in writing and
with forty-f~ve (45) days thereafter to purchase the above
described real property in their names or in the name of either
spouse individually or their children, or, to a coYporation,
partnership or trust controlled by Optionee or Optionee's fami-
ly, for the gross purchase price and under the terms and condi-
tions specified in said Contract. If the Optionee shall not so
elect within the said period of thirtyt30) days, the Owner may
~ then sell the above described real property to said offeror,

t provided the sale is on the said terms and conditions for the

~ price set forth in the said Contract sent to Optionee.

~ 3. Authority. Owner herein has the power and lawful

~ authority to grant, bargain, sell and convey this Right of First

~ 4. Owner's Authority. tJotwithstanding anything to

the cantrary contained herein, this Right of First Refusal shall
in no way restrict Owner's right, power or authority to mortgage

or encumber, grant easements, or grant a lease or leases, with- ~
out option to purchase and for a lease term (including both primazy
and option periods) not in excess of ten (10) years, nor shall
