5. Termination. This Agreement and Optionee's right
of first refusal shall extinguish, terminate and be null and

Optionee upon the consummation of an assignment, sale, transfer '

or conveyance in fee simple to a third party of such real prop-

erty after full compliance with the terms of this Agreement~
provided the sale is on the said terms and conditions and for
the price set forth in said C~ntract sent to Optionee. However,
if such sale is not consummated, this Agreement shall remain in
effect as to the real property described in the Contract sent to
Optionee. If the consummated sales relates to part of the
property described in Exhibit "A", this Agreement shall remain
in full force and effect as to any and all remaining p~operty
which has not been sold by Owner. Notwithstanding anything
contained herein to the contrary, all rights hereunder shall
terminate as to all of the real property described in Exhibit ~

"A", fifteen (15) years after the date of this Agreement, on the ~

p Subsequent to termination of this Agreement as provid-

~ ed above, rhe Optionee shall, upon Owner's request, execute and
~ acknowledge a document in recordable~form stating such facts as
are pertinent and fully relinquishing, waiving, and releasing

~ all rights and obligations hereunder.
~ 6. Notices. Any and all notices required hereunder
~ shall be sent, postage prepaid, by certified mail, to the parties

~ hereto at the following address:
