premises demised under the Lease, the Tenant agrees to
furnish the Landlord and/or the holder of the Hort~age with
an estoppel certificate stating that the Tenant has accepted
the premises, is in possession oE sa~e, is paying rent and
knows of no offsets or defenses against the Landlord, except
as set forth in said estoppel certificate.
IN WITNESS WHEREOF, this A~reement has been duly
