Members A roval of Annual Assessm~nts: Assessments set by the Board mu~t be approved by a s mple ma~ority of inembers or the Association present at the meeting c~lled to ~pprove such assessments. Provided, however, that such membership approva~ shall not be required so long as the Developer is entitled to-appoint one ~r more members of the Board of Directors. Section 4. Unifarm Rate of Assessment: All regular and special assessments shall be at_a uniform rate for each Lot in Bay Lucie ' Subdivision. I ~ ~ Section 5, S~~cial Assessmen~s_for Ca~ital Improvements and ~ Ma~or Repairs: In addifi~ on-to any annua2 assessments, the Board may levy ~n any assessment year a special assessment, applicable to that year only, far the purpose of defzaying, in whole or in part, the cost of any construc~ion, reeonstruction, .unexpected repair or replacement of a capital improvement as approved by the Board of Directors of the Association, including the necessary fixtures and personal property related ther~to, providecl that any such assessment shall have the assent of two-thirds (2/3) of the members who aze veting in person or by written proxy at a meeting duly called for this purpose, writt~n notice of which shall be sent to all members at Zeast thirty ('s0) day~ in advance and shall set forth the purpose of the meeting, Provided, however, that such approval shall not be required so long as the Developer is entitled to appoint one or more directorships of the Boaxd of Directors. Section 6. Date of Gommencement of Anmual Assessments; Dve Date: The assessments for which provision s herein made shaZl commence on the date or da~es twhich shall be the first day of a month) fixed by the Board of Directors of the Association to be the date of commencement. The due date of any assessment shall be payable in advance in monthly, quarterly, semi-annual or ~nnual installments, as determined by the Board. Section 7. Duties of the Board ot Directors: The Board of Directors of the Assoc~ation s all £ix t e date ot commencement and the amount of the assessment against each Lot for each assessment period a~ least thirty (30) days in advance of such date or period and shall, at that time, prepare a roster of the Lots anc3 assessments applicable thereto which shall be kept in the office of the Association and shall be open to inspection by the members of the Association. Wri~ten notice of the assessment shall be s~nt to evexy Owner subject thereto not later than seven (7) days after fixing the date of commencement thereof. The Association shall, upon demand- at any time, furnish to any Owner Iiable for said assessment a certificate in writing signed by an offic~r of the Association, setting forth whether said assessment has been paid.
