~ D. In the event any income or discretionary payment
~i of principal shall become payable to a minor or to a person under

~.legal disability, or to a person not adjudged incompetent but who
~~by reason of illness or mental or physical disability is, in the
~,opinion of the Trustee, unable to properly adminigter such
;iamounts, then the Trustee is authorized, in its absolute dis-
~~cretion, to retain all or part of such income, or principal for
~;the suitable support, care and maintenance of such person in such
'~of the following ways as the Trustee shall deem best: (1)
,~directlx to such beneficiary, (2) to the legally appointed
i;guardian or conservator of such beneficiary, (3) to some person
~ 'ior persons having the care of such beneficiary for his or her
~isuitable maintenance; welfare anci education, or (4) by the c3irect
;
':lapplication of such amounts for the suitable support, main-
i;
f'tenance, welfare and education of such beneficiary.

POWERS OF THE TRUSTEE

Notwithstanding any provision of this Agreement to the
;~contrary if more than one person is acting as the Trustee and at
~~least one such Trustee is not beneficially interested in the j

;~exercise or nonexercise of a power or election, under no circum-
`
stances shall the Trustee who is beneficially interested in the
; exercise or nonexercise of any power or election exercisable in a
fiduciary capacity granted by this Agreement or by law, partici-

ii pate in the decision to exercise or not to exercise the power or
