counsel, for the respective parties, that all claims placed in
issue, or that could have been placed in issue, have been
amicably settled and this cause may be dismissed with prejudice.
All liens and subrogated interests are to be paid by the
Plaintiff out of the proceeds of the settlement herein, and the
parties shall bear their own costs. The Plaintiff further agrees
to defend, indemnify and hold harmless the Defendant from any and
all liens, claims or subrogated interests of any nature
~ whatsoever made in connection with this settlement. '
