B. To sell, assign, convey, mortgage, exehange, divide, partitlon or
lease for any terms of years, any or all real or personal pmperty or any interest
therein, owned by me or acguired by my estate, other than property specifieally devised
or bequeathed herein, publicly or privately, in such manner and upon sueh prices and

terms and at sueh times as they shall see ~t in their discretion, in parcels or as a
~ whole, and to exeeute and deliver assignments, contraets, deeds, conveyances, leases

` and other instruments necessary or. proper in connection therewith;

~ C. To invest, keep invested and from time to time change the invest-
ment of and reinvest the whole or any portion of my estate in any manner which may
seem to them in their discretion advantageous to my estate, including, without limitation,
stocks and unseeured obligations, undivided interests, interests in investment trusts,
mutual funds, eommon trust funds, leases and property which is outside my domieile,
without duty to diversify and whether or not such investments are legal investments
for trust funds; to exercise all of the rights of ownership over any securities or
investments held by my estate, including without limitation, the power to subscribe to
and purchase new or additional issues of stocks or bonds;
D. To vote in person or by proxy all seeurities held in my estate in
~ case of the adjustment, recapitalization, reorganization, eonsolidation, merger or
~ arrangement of 'similar character of any corporation or association in which my estate

may have an interest, whether through the ownership of securities or as creditor or
~ otherwise, to consent to, participate in, dissent from or do any other act in connection

~ E. To divide or make distribution of my estate without prior court
j order and entirely in kind or entirely in eash, or partly in each, and to the extent of

distribution in kind, to value or appraise any or all of the investments, securities or
property of my estate as of the time of any sueh division or distribution, which
s valuation shall be binding upon all parties interested, and to satisfy legacies with such
