PROMISSORY NOTE

FOR VALUE RECEIVED, I hereby promise and agree to pay at
To~onto on the lst day of January, 1989 to the order of Martha Larsen
EnLerprises Limited the sum of E50,00~.00 Canadian and Marcella Bossin
the sum of ~50,000.00 Canadian (totalling ~100,000.00 Canadian funds)
with interest both before and after maturity and both before and after
default at the rate of 12 1/2~ per annum, calculated and payable
monthly with the interest adjustment date to be the lst day of January,
1988 as follows:
The principal sum of E100,OQ0.Q0 shall become due and payable
an the lst day of January, 1989 and interest at the said rate
calculated as aforesaid as well after as before mat~,rity and both
before and after default on such portion of the principal as remains
from time to time unpaid to be payable on the lst days of each and
every month in each year until the principal is fully paid; the first
payment of interest to be computed from the lst day of January, 1988
upon the whole amount of principal hereby secured, to become due and
payable on the lst day of February, next i988.
7he within Promissory Note may be prepaid in full on or after
the lst day of July, 1988 upon payment of the principal balance, all
unpaid interest calculated to such date and a bonus of one month's
interest calculated on the original principal amount.
The makers, endorsers and guarantors hereof waive presentment ~
for payment, protest, notice of protest, demand for payment and notice
of non payment. No time given to, or security taken fran or release of
any security or composition or arrangement ente~ed into with any party 'i
hereto shall prejudice the rights of the holder to proceed against any
other pa~ty. f
And each of us whether maker, guarantor or endorser, hereby
severally waives and renounces any and all homestead exemption rights
we may have under the Constitution or laws of the State of Florida, or ~
i any other State, or United States, as against this note; and each
further waives demand, notice of non-payment and protest, and in the ;
event it becomes necessary to collect this note through an attorney,
agrees L-o pay al? costs of co]lection, including reasonable attorney's
fees.
