(e) In the event a suCCessor trustee sha11 be appointed
pursuant to Article ?CI of the Indenture, the Trustee shall turn
over~ to the successor trustee all records, calcul~tions,
instructions and other material required to be k~pt pursuant to
this Rebate Agreement and therea:~ter shall be discharqed from all
duties hereunder.
