I Indebtedness remains outstanding, eank, acting alone, shall be entitled to administer, enforce, waive and release any and all of Mortgagee's rights and remedies under this Mortgage (other than the acceleration of the Secured IndebtQdness), in its own name or in the name of Trustee and Bank as well, without the need for any participation, consent or approval of Trustee or any registered owners of the Honds; provided, however, that the administration, enforcement, waiver and release of any such rights and remedies shall require the consent of Trustee so long as Bank is in default on its obligations under the Letter of Credit. To this end, Trustee agrees promptly to endorse to the order of Bank any and all checks for insurance proceeds or condemnation awards which may be payable jointly to Trustee and Hank, collectively as Mortgagee, upon the written request of Bank made during any period in which Trustee's consent would not be required for Bank to administer, enforce, waive or release the rights and remedies ~ of Mortgagee hereunder.
