EXHIBIT "B„
All of the right, title and ~nterest in, to and under tha~
certain Mortgage and~Security Agreement, dated as of January 1,
1988 ( the "Mortgage" ) from ~'lorida Convalescent Centers, Inc,
a Florida corporation (the "Debtor") to the Third National Bank
in Nashville, as Trustee, and The Toronto-Dominion Bank,
Chicago Branch, including the following:
A.
All o£ its right, title and interest in, to and under
certain land of which ~he Debtor is now seized, situated in the
County ~f St. Lucie, State of Florida, described more
particularly in Exhibit A attached hereto and made a part
hereof (the "Land"), and any lands in St. Lucie County which
the Debtor may hereafter become seized; and
B.
TOCETHEH WITH all buildings, structures and improvements
of every nature whatsoever now or hereafter situated on the
Land, and all fixtures, machinery, appliances, equipment, and
personal property of every nature whatsoever now or hereafter
owned by Debtor and located in or on, or attached to, or used
or intended to be used in connection with or with the operation
of, the Land, buildings, structures or other improvements,
including all. extensions, additions, improvements, betterments,
renewals and replacements to any of the foregoing and all of
the right, title and interest of Debtor in and to any such
personal property or fixtures together with the benefit of any
! deposits or payments now or hereafter made by Debtor or on its
behalf (the "Improvements"); and

i TOGETHER WITH a12 easements, zoning variances and
exceptions, rights of way, gores of land, streets, wa~rs,
~ alZeys, passages, sewer rights, waters, water courses, water
rights and powers, and all estates, rights, titles, interests,
j privileges, liberties, tenements, hereditaments and
' appurtenances whatsoever, in any way belonging, relating or
appertaining to any of the property hereinabove described, or
which hereafter shall in any way belong, relate or be
appurtenant thereto, whether now owned or hereafter acquired by
Debtor, and the reversion and reversions, remainder and
remainders, rents, issues and profits thereof, and all the
estate, right, title interest, property, possession, claim and
demand whatsoever, at law as well as in equity, of Debtor or,
in and to the same, including but not limited to all judgments,
awards of damages and settlements hereafter made resulting from
