3. Assignor hereby authorizes Assignee, at Assignee's

op~ion, to col.lect any sums coming due under the Note, and, to
take any and all action necessary and appropriate to enforce
payment under the Note and Mortgage, including the right to avail
itself oE any remedy that may be avail.abZe ~o enforce or foreclose
the Mortgage, provided, however, Assignor agrees that Assignee is
under no obligation to take any action whatsoever by virtue of
this Assignmen~ or the interest hereby assigned. .
~ 4. Assignor covenants to execute and 'deliver to
Assignee upon demand, such additional assurances, writings or
other instruments as may be required by Assignee to effectuate the
purpose thereof.
5. Any change and/or amendment to this Assignment must
be in writing; this Assignment is to be governed by the laws of
the State o~ Florida.
